Public Offer Agreement
This Public Offer Agreement (hereinafter the «Agreement») is a public proposal (offer) by the Seller, addressed to an indefinite number of persons, to enter into a contract of sale of goods on the terms set out below. The document is posted on the website wolfoil.shop and applies to all visitors and buyers of the Site.
Placing an Order on the Site means that the Buyer has read the terms of this Agreement, fully agrees with them and accepts them in full (full and unconditional acceptance of the offer). From the moment of acceptance, the Agreement is deemed concluded and has the force of a contract of sale.

General provisions
1.1. This Agreement is concluded between the Buyer and the Seller, the Limited Liability Company «ALTIMO» (LLC «ALTIMO»), and governs the terms of sale of the goods presented on the Site.
1.2. The Agreement is a public offer (proposal) by the Seller to enter into a contract of sale of goods on the terms set out in this document, in accordance with the Law of Ukraine «On Electronic Commerce» and the Law of Ukraine «On Consumer Protection».
1.3. The Buyer's placement of an Order on the Site in the established manner constitutes full and unconditional acceptance of this offer. By performing the acceptance, the Buyer confirms that they have read and agree with all the terms of the Agreement.
1.4. The Seller has the right to unilaterally amend the terms of this Agreement. The changes take effect from the moment the new version is posted on the Site. The terms in force at the time of placement apply to each specific Order.
1.5. If the Buyer does not agree with the terms of this Agreement, they have no right to place an Order on the Site.

Terms and definitions
2.1. Seller: the Limited Liability Company «ALTIMO» (LLC «ALTIMO»), which sells the Goods through the Site.
2.2. Buyer: any legally capable individual or legal entity that has placed an Order on the Site and accepted the terms of this Agreement.
2.3. Site: the online store located at wolfoil.shop, together with all its pages and services.
2.4. Goods: original oils, lubricants and related Wolf brand products, information about which is posted on the Site.
2.5. Order: a duly placed request by the Buyer to purchase and deliver the selected Goods.
2.6. Acceptance: full and unconditional acceptance by the Buyer of the terms of this Agreement by placing an Order.

Status of the store
3.1. wolfoil.shop is a branded online store of original Wolf products in Ukraine. The Seller for all Orders is LLC «ALTIMO».
3.2. The store is not an official representative office of Wolf Oil Corporation and is not authorized to act on behalf of the brand. wolfoil.shop is a trading platform that sells the Goods to end consumers.
3.3. All products presented on the Site are original and are supplied from the official supply chain, through the exclusive official importer of Wolf in Ukraine, the company ASG (Auto Standard Group), asg.ua.

Subject of the Agreement
4.1. The Seller undertakes to transfer the Goods into the Buyer's ownership, and the Buyer undertakes to accept and pay for the Goods on the terms of this Agreement.
4.2. The subject of the Agreement is the sale of original oils (engine, transmission), technical fluids (hydraulic, brake, antifreeze), greases and related Wolf brand products presented on the Site.
4.3. The images of the Goods on the Site are for informational purposes. The appearance of the packaging and markings may differ slightly from those shown on the Site, which is due to manufacturer updates and does not affect the properties of the Goods.

Procedure for placing an Order
5.1. The Buyer selects the Goods on the Site and adds them to the cart.
5.2. The Buyer places an Order, specifying the data necessary to fulfil the Order: surname, first name and patronymic, contact telephone number, email address, as well as the delivery address or Nova Poshta branch.
5.3. After the Order is placed, the Seller's manager contacts the Buyer to confirm the composition of the Order, the availability of the Goods, the cost and the delivery terms.
5.4. After the Order is confirmed, the manager provides the Buyer with the bank details for making payment.
5.5. The Seller has the right to refuse to process or to cancel an Order in the event of the absence of the Goods, the discovery of errors in the price or description of the Goods, as well as in the event of being unable to contact the Buyer using the contact details provided. In such a case, if payment has already been made, the funds received are returned to the Buyer in full.

Price and payment procedure
6.1. The prices of the Goods are stated on the Site in hryvnias (UAH), including value added tax (VAT).
6.2. The price of the Goods is valid at the time of placing the Order. The Seller has the right to change prices on the Site, while the price of an already confirmed Order is not subject to change.
6.3. Payment for the Goods is made by prepayment in non-cash form to the Seller's current account (IBAN), LLC «ALTIMO».
6.4. The bank details for payment are provided to the Buyer by the manager after the Order is confirmed.
6.5. The Buyer's payment obligations are deemed fulfilled from the moment the funds are received in the Seller's current account.

Delivery
7.1. Delivery of the Goods within the territory of Ukraine is carried out by the «Nova Poshta» service at the carrier's rates.
7.2. Within the city of Kyiv, courier delivery is available at a cost of 100 UAH.
7.3. Delivery (dispatch) of the Goods is carried out after the prepayment is received in the Seller's current account.
7.4. The ownership of the Goods, as well as the risk of their accidental loss or accidental damage, passes to the Buyer at the moment of receipt (actual transfer) of the Goods to the Buyer or a person authorized by them.
7.5. The Buyer is obliged to check the integrity of the packaging and the completeness of the Goods upon receipt.

Rights and obligations of the Parties
8.1. The Seller is obliged to:
- transfer the Goods to the Buyer in accordance with the terms of this Agreement and the placed Order;
- provide accurate information about the Goods, their price and the terms of purchase;
- ensure the proper processing and protection of the Buyer's personal data in accordance with the Law of Ukraine «On the Protection of Personal Data»;
- consider the Buyer's enquiries, applications and claims within the time limits established by law.
8.2. The Seller has the right to:
- unilaterally change the terms of this Agreement, the prices and the assortment of Goods on the Site;
- refuse to process an Order or cancel it in the cases provided for in clause 5.5 of this Agreement;
- require the Buyer to pay for the Goods in full before they are dispatched.
8.3. The Buyer is obliged to:
- provide accurate data necessary for placing and fulfilling the Order;
- pay for the confirmed Order in a timely manner;
- accept the Goods within the time limits and on the terms agreed with the Seller;
- read the terms of this Agreement before placing an Order.
8.4. The Buyer has the right to:
- receive complete and accurate information about the Goods;
- return or exchange the Goods on the terms of section 9 of this Agreement and the applicable law;
- contact the Seller with questions, applications and claims using the contact details provided on the Site.

Return and exchange of Goods
9.1. The Buyer has the right to return or exchange the Goods within 30 (thirty) days, provided that the Goods are unopened, undamaged, in the factory packaging, with their merchantable appearance, seals and completeness preserved, and provided that a document confirming the purchase is available.
9.2. These terms are more favourable for the Buyer than the minimum period provided for by the Law of Ukraine «On Consumer Protection».
9.3. Opened or used oils and technical fluids are not subject to return or exchange, as they are technical fluids and lose their merchantable appearance and consumer properties once the packaging is opened.

Liability of the Parties
10.1. The Parties are liable for non-performance or improper performance of the terms of this Agreement in accordance with the applicable law of Ukraine.
10.2. The Seller is liable solely as the seller of the Goods within the limits established by the law of Ukraine, in particular the Law of Ukraine «On Consumer Protection». The Seller is not the manufacturer of the Goods and is not a representative of the Wolf brand, and therefore does not provide any guarantees on behalf of the manufacturer or the brand.
10.3. The Seller is not liable for the improper use of the Goods by the Buyer, in particular for the use of the Goods contrary to the recommendations of the manufacturer of the vehicle or equipment.
10.4. The Buyer is liable for the accuracy of the data provided by them when placing the Order.
10.5. The Seller is not liable for delays or improper provision of services by the carrier that are beyond the reasonable control of the Seller.

Personal data
11.1. By placing an Order, the Buyer gives the Seller consent to the processing of their personal data in accordance with the Law of Ukraine «On the Protection of Personal Data».
11.2. The owner of the personal data is LLC «ALTIMO». The data is processed for the purpose of placing and fulfilling the Order, delivering the Goods and communicating with the Buyer.
11.3. The Buyer's personal data may be transferred to the carrier («Nova Poshta») solely to the extent necessary to carry out the delivery of the Goods. Personal data is not sold to third parties.
11.4. Complete information about the composition of the data, the purposes of its processing, the Buyer's rights and the protection procedure is set out in the Privacy Policy.

Force majeure
12.1. The Parties are released from liability for full or partial failure to perform their obligations under this Agreement if such failure is caused by force majeure circumstances that arose after the conclusion of the Agreement and that the Parties could not foresee or prevent by reasonable measures.
12.2. Such circumstances include, in particular: natural disasters, fires, war and military operations, armed conflicts, acts of state authorities, decisions to impose martial law or a state of emergency, strikes, accidents and other similar events.
12.3. The Party for which force majeure circumstances have arisen is obliged to notify the other Party of the occurrence and cessation of such circumstances within a reasonable time. For the duration of the force majeure circumstances, the time limit for performing the obligations is postponed.

Term of validity and amendment of the offer
13.1. This Agreement enters into force from the moment of its acceptance by the Buyer and is valid until the Parties have fully performed their obligations.
13.2. The offer is valid for an indefinite term until it is withdrawn by the Seller. The Seller has the right to withdraw the offer or change its terms at any time by posting the relevant information on the Site.
13.3. The current version of this Agreement is always available on the page Public Offer Agreement.
13.4. All disputes that arise between the Parties are resolved through negotiations, and in the event of failure to reach agreement, in the manner provided for by the applicable law of Ukraine.
